1. Finministry Affiliate Program Agreement

This agreement (“Agreement”) describes the terms and conditions for participation in the Finministryaffiliate program (“Affiliate Program”) that shall be binding on you acting as an applicant (“Affiliate” or “you”) and provided byFinministry (also referred as “we”) that is represented by London Wolt LP, Reg Nr. SL29454, Suite 1, 44 Main Street, Douglas, Lanarkshire, ML11 0QW, Scotland, website: finministry.com, as the product owner and publisher.

2. Modifications

Finministrymay modify any of the terms and conditions within this Agreement at any time and at our sole discretion without prior notice. It is your obligation to keep following updated versions of this Agreement available at the Finministry’s website. These modifications may include, but are not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Affiliate Program rules. If any of the modifications are UNACCEPTABLE BY YOU, your only recourse is to terminate this Agreement by providing a written notice of termination to Finministry. If you CONTINUE PARTICIPATION IN THE AFFILIATE PROGRAM, it will be considered as your full acceptance of the changes.

3. Enrollment

3.1 To enroll in theFinministryAffiliate Program, you must fill in and submit an affiliate application and be approved. Applications are processed every day and applicants will be notified on their status as soon as possible after their information is fully reviewed. However, Finministry does not guarantee review of your application to result in successful acceptance and reserves a right to stop and cancel your application upon its full discretion.

3.2 Only one enrollment and application to become a member of the Finministry Affiliate Program is allowed.Finministry reserves a right to cancel any additional applications made by the same person upon its full discretion.

4. Affiliate Promo

Finministry will provide you with special links and promo materials once you become an approved member of the Finministry Affiliate Program which will be unique to you and you only, and will allow you to be paid for affiliate referrals in accordance with terms of this Agreement.

5. Commissions

5.1. Affiliates will receive initially agreed commission, from client deposits made through properly coded Affiliate links (unless other deposit method is chosen andapproved by Finministry for any particular product). Commissions may change at the discretion of the product publisher.Finministry’s commissions may increase during limited time due to special promotions, but they will return thereafter to the regular commission rate.

5.2. Finministry reserves a right upon its full discretion to amend commissions to be paid to its Affiliates at any time without any prior notice.

5.3. For a sale to generate a commission to an Affiliate, the client must deposit and remit full payment to his trading account through the secure payment system. In case there is a chargeback claim made by the client for any particular payment that was made to the trading account, the Finministry has a right to withhold the commission due to the Affiliate related to this client in the amount equal to the claim of the chargeback.

5.4. Word of mouth referrals will not result in an affiliate commission being generated. Commissions will only be paid on sales that are made when the clientdeposits through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the Affiliate.

6. Payment

Finministry shall pay itsAffiliates via a PayPal, Netelleror other payment systems that are provided to us by the Affiliate upon joining the Affiliate Program. If the payment system’s account changes, it is the responsibility of the Affiliate to notify the Affiliate Program’s officers immediately to ensure that Commission is sent to the correct Affiliate’s account. Finministry shall not resend payments returned due to incorrect payment details provided by the Affiliate.

7. Order Fulfillment

7.1. Finministry will be solely responsible for processing every deposit made by a client via affiliate links. Affiliates are not authorized to collect payments or sell any Finministry products from other websites as a "reseller" and no "resale" rights are granted in ANY way. Affiliates are not authorized to give away copies of any of these products to any third parties. Finministry will also be solely responsible for all client service inquires.

7.2. Clients that purchase products and services through the Finministry Affiliate Program will be deemed to be clients of Finministry advertisers. Accordingly, all rules, policies, and operating procedures concerning client orders and service will apply to those clients. We may change our policies and operating procedures at any time. Prices and availability of our products and services may vary from time to time.

8. Qualifying websites

8.1. Finministry reserves right to refuse any website entry into the Finministry Affiliate Program based on thewebsite’s content.Websites that do not qualify for the Affiliate Program include websites that:

8.1.1. Promote sexually explicit materials;

8.1.2. Promote violence;

8.1.3. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;

8.1.4. Promote any illegal activities;

8.1.5. Infringe or otherwise violate any copyright, trademark, or other intellectual property rights of Finministrywebsite or Finministryadvertisers brands.

9. Permitted Usage

9.1. The following are permitted uses of the Finministry and Finministry advertisers brands and marketing resources:

9.1.1. Affiliates are permitted to use the graphical banners and design resources located at http://track.finministry.com/internal.php?page=adtools .

9.1.2. If a specific size banner advertisement is not available at the link provided at 9.1.1., the Affiliate shallcontact the Affiliate Program manager atmark@finministry.com and request a new banner graphic to be added to the available resources.

9.1.3. If Affiliate intends to promote a coupon, the Affiliate shall contact the Affiliate Program manager at (…@finministry.com or …) prior to usage of any coupons. Usage of any coupons must be expressly confirmed by Finministry.

10. Prohibited Usage

10.1. The following cases are prohibited and are grounds for immediate termination of the affiliate account:

10.1.1. Affiliates MAY NOT use the Finministry logo, logo marks or other Finministry website/branding imagery in a header graphic or in any ways as to indicate they are officially affiliated or partnered with Finministry brand;

10.1.2. Affiliates MAY NOT use the term "Finministry" in ANY variation in their site URL ex. (finministry.com, finministrycouponcodes.com, fin-ministry,finministry.plugins.com, or in any other form that Finministry in its sole opinion considers as similar to “Finministry”);

10.1.3. Affiliates MAY NOT promote coupons that were not provided to them personally by Finministry. Affiliatesmay NOT promote coupon codes that were found elsewhere online, except for provisions laid down in 9.1.3. Doing so can result in the termination of your affiliate account and withholding of affiliate payments for violating theAgreement;

10.1.4. Affiliates MAY NOT host or promote "coupon stacking" sites where customers may combine coupons to receive additional discounts.

11. Finministry Anti-Spam Policy

11.1. Spam is defined as including, but not limited to, the following:

11.1.1. Messages posted to Usenet, forums, Twitter, Facebook and message boards that are off-topic (unrelated to the topic of discussion), cross-posted to unrelated newsgroups, posted in excessive volume, or posted against forum/message board rules. Be conscious of forum rules! If a forum owner or moderator complains that an Affiliate has spammed, the Affiliate’s account may be permanently terminated after investigation;

11.1.2. Solicitations posted to chat rooms, or to groups or individuals via Internet Relay Chat or "Instant Messaging" system;

11.1.3. Certain off-line activities that, while not considered Spam, are similar in nature, including distributing flyers or leaflets on private property or where prohibited by applicable rules, regulations, or laws.

11.2. Finministry may undertake, at its sole discretion and with or without prior notice, the following enforcement actions:

11.2.1. Termination of the Affiliate’s Account in the following case:

11.2.1.1. Upon the receipt of a credible complaint, the Finministry Affiliate Program manager may investigate the complaint, and if necessary, shall have a right to terminate the Affiliate’s account of the Affiliate involved in the abuse. Termination results in the immediate closure of the Affiliate account, the loss of all referrals, and the forfeiture of any unpaid money on account. Termination may not only result in being banned from the Affiliate Program, but also being banned from ANY other internal affiliate programs at Finministry’s sole discretion.

11.3. If you wish to report a violation of our Anti-Spam Policy, please forward all relevant information with supportive evidence to our Senior affiliate manager at mark@finministry.com.

12. Status of the Affiliates

Affiliates are independent contractors, and nothing in this Agreement shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties to this Agreement. Affiliates have no authority to make or accept any offers or representations on our behalf. Affiliates will not make any statement, whether on their sites or otherwise, that reasonably would contradict to provisions of this section.

13. Term and Termination of the Agreement

The term of this Agreement will begin upon your express acceptance of this Agreement and shall respectively end upon termination of this Agreement by either party. Either Finministry or the Affiliate may terminate this Agreement at any time, with or without cause. Upon the termination of this Agreement for any reason, all rights granted hereunder shall immediately terminate and you must immediately stop usage of, and remove from Affiliate's Website, all links to Finministrywebsites, and all Finministry or trademarks and logos, other Finministrymarks and all other materials provided in connection with this Affiliate Program.

14. Limitation of Liability

Finministryshall not be held liable for any indirect, special, or consequential damages (or any loss of revenue, profits, expected profit, expenditures or data) arising in connection with this Agreement, even if we have been advised on the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program shall not at any time and under no circumstances exceed the total commissions paid or payable to the Affiliate in accordance with this Agreement.

15. Disclaimers

We make no express or implied warranties or representations with respect to the Affiliate Program or an Affiliate's potential to earn any income or commissions from the Affiliate Program. In addition, we make no representation that the operation of the websites or the Affiliate links will be uninterrupted or error-free, and Finministryshall not be liable for the consequences of any interruptions or errors.

16. Miscellaneous

16.1. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

16.2. If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

16.3. By signing up with Finministry Affiliate Program, you acknowledge that you have read this Agreement and understand and agree to all its terms and conditions. You have independently evaluated the Affiliate Program and are not relying on any representations, guarantees or statements other than as set forth in this Agreement.

16.4. In case if the dispute arises between the parties of this Agreement, both parties agree to first attempt to resolve the dispute by way of amicable communication. In case the dispute may not be amicable settled, then the dispute shall be resolved at the courts of the Republic of Seychelles in accordance with the Republic of Seychelles laws. The provisions laid down in this section shall survive termination of this Agreement.
